Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between 7BE Inc., a Delaware corporation (“7BE,” “we,” “us,” or “our”), and the person or organization that accesses or uses the Services (“you” or “User”). If you use the Services for an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

By creating an account, purchasing a plan or Connects, funding a Project, submitting a proposal, accepting a Project Order, or otherwise using the Services, you agree to these Terms and all policies expressly incorporated by reference. If you do not agree, do not use the Services.

1. Definitions

Agency means a business or professional service provider that lists services, receives opportunities, submits proposals, or performs a Project.

Buyer means a business customer that creates a Project or purchases services from an Agency through the Services.

Connects means non-cash platform credits used by Agencies to submit proposals or access specified marketplace functionality.

Customer Data means data supplied by or for a Buyer for a Project, including data used to configure, operate, test, or verify a Deliverable.

Deliverable means work product an Agency is required to deliver under a Project Order.

Project means an outcome-based engagement between a Buyer and an Agency initiated or administered through the Services.

Project Funds means the amount a Buyer funds for Agency compensation under a Project Order, excluding separately disclosed taxes and 7BE fees.

Project Order means the accepted project-specific agreement containing the parties, outcome, Deliverables, Verification Criteria, schedule, price, data rules, and other project terms.

Services means 7BE’s websites, marketplace, accounts, messaging, APIs, matching, project administration, verification tools, billing features, and related services.

Verification means 7BE’s project-specific assessment of whether a Deliverable satisfies the Verification Criteria in the applicable Project Order.

Verification Criteria means the objective metrics, test procedures, datasets, baselines, thresholds, guardrails, and acceptance rules stated in a Project Order.

2. 7BE’s Role

7BE operates a business-to-business marketplace and provides matching, project-administration, and independent Verification services. Buyers and Agencies contract with each other through the applicable Project Order. Unless a Project Order expressly states otherwise, 7BE is not the Agency performing the Project, the Buyer purchasing the Deliverable, an employer, a joint employer, a general contractor, or a party responsible for an Agency’s professional services.

7BE is, however, a party to the provisions of each Project Order that assign rights or responsibilities to 7BE, including Verification, platform administration, payment instructions, dispute administration, confidentiality, and data processing.

7BE does not act as a bank, deposit-taking institution, fiduciary, insurer, or licensed escrow company. Payments are processed and held by third-party payment service providers under their terms and released according to the Project Order and the Verified Project Terms. References on the Services to payment protection or “escrow-backed” payments describe this conditional third-party payment workflow and do not create a regulated escrow or fiduciary relationship unless expressly stated in a separate signed agreement.

3. Business Use, Eligibility, and Authority

The Services are intended only for persons age 18 or older acting for legitimate business or professional purposes. You must be legally capable of contracting and must not be subject to sanctions or other restrictions that prohibit use of the Services.

You must provide accurate, current, and complete account, identity, tax, billing, and business information. You are responsible for all activity under your account, for protecting credentials, and for promptly notifying security@7be.io of suspected unauthorized access.

Organization administrators may control organizational accounts, access User Content, assign permissions, and remove users. If your access is provided by an organization, that organization’s instructions may control your account.

4. Incorporated Policies and Order of Precedence

The following are incorporated into these Terms when applicable: the Verified Project Terms, Agency Provider Agreement, Privacy Policy, Data Processing Addendum, Acceptable Use Policy, Verification Methodology, Review and Ranking Policy, Cookie Policy, and each Project Order.

If documents conflict, the following order applies: (1) a signed negotiated agreement; (2) the Project Order; (3) the Data Processing Addendum for processing of Customer Personal Data; (4) the Verified Project Terms; (5) the Agency Provider Agreement for Agency obligations; (6) these Terms; and (7) other incorporated policies.

5. Accounts, Marketplace, and Communications

7BE may verify business email, identity, ownership, credentials, references, or other profile information. Verification labels have the limited meanings described where displayed and do not constitute an endorsement or general guarantee.

Users may create profiles, publish briefs, submit proposals, exchange messages, and manage Projects. You must keep public and private information accurate and must not disclose confidential, regulated, or sensitive information in public fields.

7BE may use automated systems to classify content, recommend matches, summarize information, detect fraud, and assist Verification. Automated output may contain errors. Except for a final Verification determination made under a Project Order, Users remain responsible for decisions based on automated output.

6. Projects and Verification

A Project is not formed until the Buyer, Agency, and, for provisions applicable to 7BE, 7BE accept the Project Order and any required Project Funds are shown as funded by the payment provider.

Each Project is governed by its Project Order and the Verified Project Terms. No proposal, message, demo, estimate, or marketing statement modifies a Project Order unless incorporated through written change control.

Verification is limited to the agreed Verification Criteria, test environment, data, and time of assessment. A passing result confirms only that the tested Deliverable met those criteria at that time. It does not guarantee uninterrupted, error-free, lawful, secure, or future performance under all conditions.

Unless the Project Order states otherwise, the Agency receives no Project Funds unless the Deliverable passes final Verification. Cure, re-test, dispute, refund, and release procedures are governed by the Verified Project Terms.

7. Payments and Payment Providers

You authorize 7BE and its payment providers to process charges, refunds, transfers, reversals, verification holds, fees, taxes, and payment instructions permitted by these Terms and the applicable Project Order. Payment services may require identity, business, tax, sanctions, and bank-account verification.

Project Funds are not deposits with 7BE, do not earn interest for Users, and may be subject to payment-provider settlement delays, reserves, risk controls, or legal restrictions. 7BE may delay or withhold a payment instruction when reasonably necessary to investigate fraud, sanctions, security, a dispute, a chargeback, or a legal obligation.

Fees and taxes are disclosed at checkout, on the Pricing page, in an invoice, or in a Project Order. Users are responsible for taxes imposed on their purchases, income, or services, except taxes imposed on 7BE’s net income.

8. Plans, Renewals, and Connects

Paid Agency plans renew automatically for the selected monthly or annual term until canceled. The price, billing period, included Connects, and material features shown at checkout form part of the subscription. Cancellation takes effect at the end of the current paid term unless law or checkout terms require otherwise.

7BE will provide reasonable advance notice of material price changes to an existing renewal. No refund is due for a partially used term unless required by law or expressly promised at checkout.

Connects are limited, revocable platform credits; they are not money, property, stored value, or transferable currency and have no cash value. Connects may be used only for the functions specified by 7BE. Allocation, expiration, rollover, restoration, and refund rules shown at issuance or purchase control. Unless expressly stated otherwise, subscription Connects expire at the end of the applicable monthly allocation period, and separately purchased Connects expire 12 months after purchase. Connects are restored only when 7BE cancels an eligible opportunity before meaningful Agency participation or as expressly stated in the Services.

9. User Content, Customer Data, and Licenses

Public Content. You retain ownership of content you intentionally publish to public profiles, directories, portfolios, reviews, or public briefs. You grant 7BE a worldwide, non-exclusive, royalty-free license to host, reproduce, format, translate, display, distribute, and promote that Public Content solely to operate, improve, and market the Services. This license ends when the Public Content is removed, except for cached copies, legal records, and materials already incorporated into distributed marketing with your authorization.

Private Project Content. Proposals, private messages, Customer Data, Deliverables, source code, credentials, test evidence, and non-public Project materials are not licensed for general marketing. You grant 7BE a limited license to process them only to operate the Services, administer the Project, perform Verification, provide support, prevent abuse, comply with law, and resolve disputes.

Feedback. You may provide suggestions about the Services. 7BE may use non-confidential Feedback without restriction or payment, but will not identify you publicly without permission.

You represent that you have all rights and lawful bases required to submit content and data and to authorize the processing described in the applicable agreements.

10. Confidentiality

Each recipient of Confidential Information will use it only for the Services or applicable Project, protect it with at least reasonable care, and disclose it only to personnel, contractors, professional advisers, and subprocessors who need access and are bound by confidentiality obligations.

Confidential Information excludes information the recipient can document was lawfully known without restriction, independently developed, received lawfully from another source, or made public without breach. A legally compelled recipient may disclose the minimum required information and, when lawful, give advance notice.

Project-specific confidentiality, return, deletion, and survival terms may be stated in the Project Order. Trade-secret obligations survive while information remains a trade secret; other confidentiality obligations survive for five years after disclosure unless a longer period is stated.

11. Intellectual Property and Deliverables

7BE and its licensors own the Services, software, designs, workflows, compilations, trademarks, Verification systems, and related intellectual property, excluding User Content.

Ownership of Deliverables is governed by the Project Order. Unless it states otherwise, upon the Agency’s receipt of all amounts due, the Agency assigns to the Buyer the Deliverables created specifically for that Project, excluding Agency Background Materials and third-party materials. The Agency grants the Buyer a perpetual, worldwide, transferable, sublicensable license to Agency Background Materials embedded in the Deliverables to the extent necessary to use, modify, maintain, and exploit the Deliverables.

No User may copy, scrape, reverse engineer, circumvent, or use the Services or 7BE data to create a competing database, except where applicable law prohibits restriction.

12. Reviews, Rankings, and Verification Labels

Reviews must reflect genuine experience and disclose material incentives or relationships. Users must not submit fake reviews, suppress honest negative reviews, condition benefits on positive sentiment, or manipulate rankings.

Organic ranking factors and paid visibility are governed by the Review, Ranking and Paid Placement Policy. Payment may affect placement, access, or visibility only where disclosed; it does not purchase a favorable review, Verification result, performance score, or false claim of qualification.

13. Acceptable Use and Compliance

You must comply with the Acceptable Use Policy and all applicable privacy, intellectual-property, anti-spam, anti-bribery, export-control, sanctions, employment, consumer-protection, and industry-specific laws.

You must not upload malware, interfere with the Services, evade limits, scrape without written permission, misuse personal data, impersonate others, submit deceptive content, facilitate illegal discrimination, or use the Services for prohibited high-risk AI activities.

7BE may investigate, preserve evidence, remove content, restrict functionality, suspend Projects, or terminate accounts when reasonably necessary to protect Users, the Services, or third parties.

14. Third-Party Services

The Services may integrate with payment processors, identity providers, hosting services, analytics, communications tools, AI providers, and other third parties. Their services are governed by their own terms. 7BE is not responsible for third-party services outside 7BE’s reasonable control, but remains responsible for its own obligations regarding subprocessors and Customer Data.

15. Suspension and Termination

You may stop using the Services at any time and may cancel subscriptions as described above. 7BE may suspend or terminate access for material breach, fraud, abuse, non-payment, sanctions, security risk, legal requirements, or risk to other Users.

Where practicable and safe, 7BE will provide notice and an opportunity to cure. Termination does not affect accrued payment obligations, pending disputes, confidentiality, intellectual-property rights, data-retention duties, indemnities, liability limitations, or dispute provisions.

16. Disclaimers

Except for express commitments in a Project Order, the Services are provided “as is” and “as available.” To the maximum extent permitted by law, 7BE disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

7BE does not guarantee the identity, solvency, legality, quality, availability, or conduct of any Buyer or Agency; a minimum number of opportunities or proposals; revenue; ranking; or that an AI system will remain accurate after Verification. Users must conduct appropriate commercial, legal, security, and professional due diligence.

17. Limitation of Liability

To the maximum extent permitted by law, no party will be liable under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunity, or data, even if advised of the possibility.

Except for Excluded Claims, 7BE’s aggregate liability arising from the Services during any 12-month period will not exceed the greater of (a) fees paid or payable to 7BE by the claimant during that period for the Services giving rise to the claim or (b) USD 1,000. Project Funds designated for Agency compensation are not fees paid to 7BE.

“Excluded Claims” means fraud, willful misconduct, gross negligence, infringement or misappropriation of the other party’s intellectual property, breach of confidentiality, violation of data-protection obligations, indemnification obligations, or amounts a User is required to pay. Liability for Excluded Claims remains subject to applicable law and any negotiated agreement.

18. Indemnification

You will defend, indemnify, and hold harmless 7BE, its affiliates, and their personnel from third-party claims arising from your User Content, Customer Data, services, Deliverables, unlawful conduct, breach of these Terms or a Project Order, infringement, privacy violation, taxes, employment relationship, or dispute with another User, except to the extent caused by 7BE’s breach, gross negligence, or willful misconduct.

7BE will provide prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, subject to 7BE’s right to participate with separate counsel. No settlement may admit fault or impose non-monetary obligations on an indemnified party without consent.

19. Disputes with Other Users

Buyers and Agencies should first use the Project dispute procedure. 7BE may facilitate resolution and may issue payment instructions based on the Project Order and Verification record, but does not provide legal representation and is not required to adjudicate claims outside its contractual role.

20. Governing Law and Arbitration

Before arbitration, a party must send a written notice describing the dispute and requested relief to legal@7be.io and allow 30 days for good-faith resolution.

Except for eligible small-claims matters, requests for temporary injunctive relief, or disputes that applicable law does not permit to be arbitrated, disputes between you and 7BE will be resolved by binding, individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat will be Wilmington, Delaware, and proceedings may occur remotely. The Federal Arbitration Act governs the arbitration provision.

Claims may be brought only individually, not as a class, collective, consolidated, or representative action. Each party waives trial by jury to the extent permitted by law. If this waiver is unenforceable for a claim, that claim will proceed in state or federal courts located in Delaware, and the parties consent to jurisdiction there.

These Terms and disputes are governed by Delaware law without regard to conflict-of-law principles.

21. Changes

7BE may update these Terms. We will post the updated version and revise the effective date. For material changes affecting fees, dispute rights, payment release, or data use, we will provide reasonable advance notice and, where required, request affirmative acceptance. Changes apply prospectively unless law requires otherwise.

22. General

These Terms and incorporated documents are the entire agreement regarding the Services. Failure to enforce a provision is not a waiver. Invalid provisions will be modified only as necessary, and the remainder remains effective.

You may not assign these Terms without 7BE’s consent. 7BE may assign them in connection with a merger, financing, reorganization, or sale of substantially all relevant assets, subject to applicable privacy law.

Neither party is liable for delay caused by events beyond reasonable control, except payment obligations and data-protection duties that can reasonably continue.

The headings are for convenience. “Including” means “including without limitation.” Electronic notices and signatures are valid. Notices to 7BE must be sent to legal@7be.io and, for formal legal service where permitted, to the legal address above.
