1. Overview & acceptance

These Terms & Conditions ("Terms") govern your access to and use of the websites, apps and services operated by 7BE Inc. ("7BE," "we," "us," or "our"), including https://7be.io and any related tools, APIs and integrations (collectively, the "Services").

By accessing or using the Services, creating an account, purchasing a subscription or credits, submitting content or clicking accept, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. What 7BE is (and isn't)

7BE is an AI-assisted B2B marketplace that helps (a) buyers ("Buyers") submit project needs and compare vendors and (b) service providers/agencies ("Vendors") market services, receive opportunities, bid and manage leads.

7BE is not a party to any contract between Buyers and Vendors, does not provide professional services and does not act as an agent, broker, insurer or guarantor. All Buyer-Vendor engagements are private agreements between those parties.

3. Eligibility & accounts

• Age. You must be 18+ and capable of binding contracts.
• Accuracy. Provide accurate, current and complete registration, billing and profile details; keep them updated.
• Security. You're responsible for safeguarding your login. Notify us immediately of unauthorized use.
• Account actions. We may refuse, suspend or terminate accounts at our discretion (e.g., for violations, fraud or risk).

4. Use of the Services

You agree to:

• Comply with all applicable laws (privacy, IP, export, anti-spam, anti-bribery and sanctions), our Privacy Policy and these Terms.
• Use the Services only for legitimate business purposes (finding Vendors; marketing services; project management; lawful communication).
• Respect fair use, technical limits and any feature-specific rules (e.g., bidding credit policies, API rate limits).

We may modify or discontinue features without liability.

5. User content & reviews

5.1 Definitions

"User Content" includes information you or your organization submit or make available (profiles, project briefs, bids, proposals, case studies, messages, reviews, logos, links, media, testimonials, Q&A, etc.).

5.2 Your responsibilities

• You are solely responsible for your User Content.
• You represent you have all rights to share it and that it is truthful, lawful, non-misleading and non-infringing.
• Do not post confidential data unless you intend to disclose it publicly; use private channels or NDAs offline where appropriate.
• Reviews must reflect honest experiences and comply with applicable guidelines and disclosure laws (e.g., any incentive must be clearly disclosed and cannot condition sentiment).

5.3 Our rights

• No duty to monitor, but we may edit, refuse or remove User Content at our discretion.
• You grant 7BE a worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable, non-exclusive license to use, host, reproduce, modify, adapt, translate, publish, distribute, publicly display/perform and create derivative works of User Content in connection with operating, improving and promoting the Services (including creation of promotional PDFs, examples and marketing materials referencing public reviews or portfolio items).
• We may show ads near User Content; you are not entitled to compensation.

6. Marketplace matching, AI and messaging

• AI assistance. We use automated systems to analyze project briefs and profiles to recommend matches and summarize information. AI outputs are informational only and may contain errors; final decisions are yours.
• No guarantees. We do not guarantee the availability, suitability, pricing, quality or outcome of any Vendor or Buyer, nor any volume of leads, impressions or revenue.
• On-platform conduct. Use messaging and workflows only for project-related communications and in compliance with anti-spam rules.

7. Prohibited conduct

You agree not to:

• Post or solicit false, deceptive, defamatory, obscene, discriminatory or illegal content.
• Manipulate reviews (e.g., demand edits/removal, trade compensation for sentiment, mass upvote, astroturf). Permitted incentives must be clearly disclosed and not contingent on positive sentiment.
• Scrape, crawl, harvest, index or bulk export data without our written consent; circumvent security; reverse engineer; copy look & feel; or build a competing database using 7BE data.
• Upload malware or interfere with the Services' operation or load.
• Misrepresent identity, affiliation, qualifications or conflicts of interest.
• Use the Services in violation of sanctions, export controls or anti-corruption laws.

We may run a Customer Alert or similar notice for review manipulation, fraud or safety risks.

8. Subscriptions, credits, trials and payments

8.1 Plans & features

Vendors may purchase paid subscriptions (e.g., Pro/Premium), bidding credits and other add-ons. Features are described at checkout or in your invoice. Features may change.

8.2 Billing & taxes

• You authorize 7BE and its payment processors to charge your selected payment method for recurring fees, credits, add-ons and applicable taxes.
• Subscriptions auto-renew each billing cycle until canceled.
• If your payment method fails, you authorize reattempts; we may suspend features until payment is resolved.

8.3 Trials & cancellations

• If offered, free trials convert to paid unless canceled before the trial ends.
• You may cancel future renewal effective at the end of the current term. Unless required by law or expressly stated, fees are non-refundable, including for partial periods or unused credits.

8.4 Late payments & chargebacks

• Overdue invoices may incur late fees up to $200 and/or interest as permitted by law; we may suspend the account.
• Chargebacks may result in immediate suspension and recovery of outstanding amounts and processor fees.

8.5 Credits

Bidding or promotional credits may have usage limits, expiration and no cash value; details are shown at purchase or issuance.

9. Third-party services

The Services may link to or integrate with third-party tools (e.g., identity, analytics, CRM, ads, payment). We are not responsible for third-party terms, privacy, uptime or results. Your use of third-party services is at your own risk and governed by those providers.

10. Intellectual property

Except for your User Content, the Services — including software, design, compilations, data models, AI prompts/configurations, text, graphics, logos and trademarks — are owned by 7BE or its licensors and protected by IP laws.

You may not copy, modify, distribute, frame, mirror or create derivative works except as expressly permitted.

Trademarks. All 7BE names, marks and logos are the property of 7BE. Third-party marks belong to their owners.

11. Copyright (DMCA) policy

We respect IP rights and respond to compliant notices under the Digital Millennium Copyright Act.

Your notice must include: (i) a physical/electronic signature; (ii) identification of the copyrighted work; (iii) identification of the allegedly infringing material and its location; (iv) contact details; (v) a good-faith statement of unauthorized use; and (vi) a statement under penalty of perjury that you are authorized to act. We may forward your notice to the submitter of the content.

We may remove content and terminate repeat infringers.

12. Confidential information

If you receive non-public information from 7BE (e.g., security, pricing, roadmaps), you must keep it confidential, use it only to use the Services and protect it with reasonable safeguards.

13. Privacy

Your use of the Services is subject to our Privacy Policy (see site footer). Among other things, it explains how we collect, use and share data (including AI processing, analytics, cookies, ads and cross-border transfers).

14. Disclaimers

We do not guarantee uninterrupted or error-free operation, that AI recommendations will be accurate or suitable, or any outcomes from using the marketplace. You are responsible for verifying Vendors/Buyers and contract terms independently.

15. Limitation of liability

16. Indemnification

You will defend, indemnify and hold harmless 7BE from and against claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising from or related to: (a) your User Content; (b) your use or misuse of the Services; (c) your violation of these Terms or applicable law; or (d) your Buyer-Vendor engagements.

17. Governing law, venue, arbitration and class waiver

• Law & venue. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Subject to the arbitration provision below, exclusive jurisdiction and venue lie in the state or federal courts located in Delaware and you consent to personal jurisdiction there.
• Arbitration. Except where prohibited by law, disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration will be Wilmington, Delaware (unless the parties agree otherwise). Judgment on the award may be entered in any court of competent jurisdiction.
• Class action & jury waiver.Arbitration is on an individual basis only — no class, collective or representative actions. You waive a jury trial.
• Equitable relief (e.g., injunction) may be sought in court without waiving arbitration for damages claims.

18. Termination & suspension

We may suspend or terminate your access (or specific features) at any time for any reason, including violations, fraud risk, non-payment, legal or security concerns. You may stop using the Services at any time; cancellation rules in Section 8 apply.

19. International use, export and sanctions

You must comply with all applicable export control and sanctions laws. You represent that you are not located in, under the control of or a national/resident of any prohibited jurisdiction or restricted party list.

20. General

• Entire agreement. These Terms (plus any order form/invoice and the Privacy Policy) are the entire agreement and supersede all prior or contemporaneous understandings.
• Severability. If a provision is unenforceable, it will be modified to the minimum extent necessary to be enforceable; the remainder remains in effect.
• No waiver. Failure to enforce a right is not a waiver.
• Assignment. You may not assign these Terms without our consent. We may assign or transfer them (e.g., in a merger, acquisition or sale).
• Notices. We may notify you via the Services, email or your account contact. Legal notices to 7BE must be sent via the Contact Us page or by mail to our address above.
